Effective compliance programs

A well-designed, continuously enforced, and regularly monitored compliance program is not just required by law (for public companies); it’s good business.  When deciding whether and, if so, how to prosecute a company under investigation, government regulators and enforcement officials are becoming more and more aggressive. Government regulators are devoting increasing resources to evaluating corporate compliance programs, and accordingly, they are crediting companies that take compliance seriously and have robust compliance programs. Likewise, they are penalizing companies that fail to take compliance matters seriously, or fall short with non-existent or paper programs.

And shareholders have noticed, too.  Several companies have been sued by shareholders alleging that the company’s wrongdoing – or subpar financial performance – was caused at least in part by management’s failure to have, enforce, and maintain an adequate compliance program.  Of course, having a robust compliance program that is properly enforced also improves corporate culture and creates a work environment that allows employees to thrive.
